Extra-Provincial Registration in Manitoba

If your corporation wants to carry on business in the Province of Manitoba, but it is not incorporated as a provincial corporation in this province, it must be registered as an extra-provincial corporation. This type of registration is also required for federal (Canada) corporations and for non-Canadian corporations that wish to carry on business in Manitoba.

The Manitoba extra-provincial registration process involves reserving the corporate name with the Manitoba Companies Office, the appointment of a resident of Manitoba as Attorney for Service (for the purpose of receiving service of legal documents and government correspondence on your company's behalf), and the completion and submission of several documents, along with the relevant government filing fee, to the Manitoba Companies Office, in order to complete the extra-provincial registration.

Once the Manitoba extra-provincial registration is complete, a Certificate of Registration will be issued. Unless exempted (see below), your corporation will be required to file a Manitoba Extra-Provincial Annual Return each year, along with the relevant filing fee, in order to keep its registration active and in good standing.

The Province of Manitoba, along with the Provinces of British Columbia, Alberta and Saskatchewan, is a signatory to the New West Partnership Trade Agreement, which is an inter-provincial agreement that reduces or eliminates certain regulatory requirements for corporations that are incorporated in one of the participating provinces that wish to carry on business in one or more of the other participating provinces. These companies are exempt from the initial and annual extra-provincial registration fees (but not costs related to name searches and name reservations), and they are exempt from annual report/annual return filing requirements in the participating provinces where they are extra-provincially registered.
