Extra-Provincial Registrations

Eric P. Cohen, Barrister & Solicitor offers extra-provincial business registrations in all Canadian Provinces and Territories. Extra-Provincial registrations (also known as branch office registrations) are corporate registrations required by all corporations which operate outside their home jurisdiction of incorporation.

Extra-Provincial registration is required in all of the following circumstances:

  • Federal (Canada) Corporations - Federally incorporated companies have the constitutional right to carry on business within any Canadian Province or Territory, subject to any provincial or territorial requirements. All Provinces and Territories (with the exception of Prince Edward Island in certain circumstances), require that federally incorporated businesses register as extra-provincial corporations in order to carry on business within their jurisdictions.
  • Provincial Corporations – Corporations incorporated pursuant to provincial legislation are required to register as extra-provincial corporations in order to carry on business in any Province outside their home jurisdiction of incorporation.

    PLEASE NOTE: The Provinces of Nova Scotia and New Brunswick waive extra-provincial registration requirements for corporations incorporated in Nova Scotia and New Brunswick which also carry on business in the other Province. The Provinces of British Columbia, Alberta and Saskatchewan waive extra-provincial registration filing fees for corporations incorporated in British Columbia, Alberta and Saskatchewan which also carry on business in one or more of the other Provinces.

  • Foreign Corporations – Foreign corporations who wish to carry on business in Canada using a branch office (as opposed to a subsidiary corporation), must register as extra-provincial corporations in each Province that they carry on business.
