Here’s What You Need to Know About Registering Your Ontario Business Corporation

If you are planning to register your business as a corporation in Ontario, you may find you need a few important pieces of information before you can complete all of the necessary steps. While there are certain requirements for business registrations as a sole proprietorship or partnership, business corporations have some different tasks to complete as part of the registration process. Here is a break-down of the steps you will need to take to register your business corporation in Ontario:

  • Choose a Proposed Corporate Name or decide to incorporate using a numbered name. This is potentially the most obvious first step, but it is important to choose your business name wisely. Not only do you want to stand out from your competitors, as well as brand your business well, but you will also need a company name for step two. If a corporate name is not required, a numbered name can be used. The number would be assigned by the government when the Articles of Incorporation are filed.
  • Conduct a Name Search. If you have selected a name for your Ontario business corporation, you will then need to conduct a NUANS® name search to determine whether your proposed name is available.
  • Prepare Articles of Incorporation. The next stage in the incorporation process is to prepare the articles of incorporation. You can either use traditional paper forms, or there are online resources where you can complete your articles of incorporation electronically.
  • Create a Cover Letter. The cover letter is an essential part of registering your Ontario business corporation because it identifies the contact information for your business, including the name, mailing, and physical address, and telephone number of the submitter of the documents.
  • File Your Application. The final step is to officially file your Ontario business corporation registration, which includes the above documents and paying the required fee. You will then wait to receive approval from the Companies and Personal Property Security Branch of the Ministry of Government Services. These documents can either be filed over the counter at the Ministry, by mail or by courier or online using a Primary Service Provider.
